1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and 25 Alpha LLC (“Company,” “we,” “us,” or “our”) governing your access to and use of the NoteVUE platform, including all associated websites, applications, features, and services (collectively, the “Platform”). By accessing or using the Platform in any manner, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

These Terms are effective as of April 1, 2026. We reserve the right to modify these Terms at any time. Notice of material changes will be provided pursuant to Section 13 below. Your continued use of the Platform after the effective date of any modification constitutes your acceptance of the revised Terms.

2. Description of Service

NoteVUE is a national K-12 teacher appreciation platform that enables students to send anonymous, AI-assisted notes of appreciation to their teachers. The Platform allows teachers to claim a public appreciation wall where notes from students are displayed, and maintains a national leaderboard ranking schools by teacher appreciation activity. NoteVUE is operated by 25 Alpha LLC and powered in part by Anthropic’s Claude artificial intelligence system for message generation.

The Platform is provided as a free service for core features. Future premium features offered to teachers may require payment, and separate terms will govern any such paid features.

3. User Eligibility

NoteVUE is designed for use by K-12 students of all ages, their families, and educational professionals including teachers, administrators, and school staff. Students do not need to create an account or provide any personal information to use the core note-sending feature of the Platform. The Platform is designed and operated in compliance with the Children’s Online Privacy Protection Act (COPPA) with respect to users under 13 years of age.

Teachers and other adults who wish to claim a wall and access account features must be at least 18 years of age and must provide accurate information during the claim process. By claiming a wall, you represent and warrant that you are a bona fide educator or school staff member at the stated institution.

4. Acceptable Use Policy

Permitted Uses: You may use the Platform to send genuine, sincere notes of appreciation to K-12 teachers. Appreciation notes may include constructive feedback expressed respectfully. Teachers may use account features to manage their walls, share their wall pages, and engage with the Platform’s recognition features.

Prohibited Uses: The following are strictly prohibited and may result in immediate removal of content, blocking of access, and referral to appropriate authorities:

  • Submitting content that harasses, threatens, demeans, or personally attacks any individual.
  • Submitting hate speech, discriminatory content, or content that targets individuals based on race, ethnicity, gender, sexual orientation, religion, disability, national origin, or any other protected characteristic.
  • Submitting false or defamatory statements about any teacher or school.
  • Submitting spam, repetitive content, or content generated for commercial purposes.
  • Attempting to identify, deanonymize, or expose the identity of any student who submitted a note.
  • Scraping, crawling, or otherwise extracting data from the Platform by automated means without our express written consent.
  • Circumventing or attempting to circumvent any content moderation, rate limiting, or access control measures.
  • Using the Platform to advertise or promote commercial products or services.
  • Impersonating any person, school, or organization.
  • Submitting content that violates any applicable federal, state, or local law.

All notes submitted to the Platform are screened by automated content safety filters prior to publication. We reserve the right, but assume no obligation, to review, remove, or block any content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable.

5. Content Ownership and License

Notes submitted through the Platform are anonymous and do not carry an identifiable author. By submitting a note, you grant 25 Alpha LLC a non-exclusive, worldwide, royalty-free, irrevocable license to use, reproduce, display, distribute, and create derivative works from the note content for purposes of operating, improving, and promoting the Platform. This license does not affect the anonymous nature of note submissions.

Teacher wall profiles — including a teacher’s name, subject, school affiliation, and wall settings — are associated with the teacher who claimed the wall. Teachers retain control over their wall settings and may make their wall private or delete their account at any time. The content of anonymous notes displayed on a teacher’s wall does not belong to the teacher; it is licensed to 25 Alpha LLC as described above.

6. Teacher Accounts

Claiming a wall on NoteVUE is a voluntary opt-in process. Teachers claim their wall by providing their email address and clicking a one-time magic link. By claiming a wall, you agree to receive transactional emails related to your wall, including new note notifications (which you may disable in your dashboard settings).

You are responsible for maintaining the security of your account. If you believe your account has been accessed without your authorization, you must notify us immediately at info@25alpha.ai. 25 Alpha LLC is not liable for any loss or damage arising from unauthorized access to your account due to your failure to maintain account security.

You may delete your account at any time by contacting info@25alpha.ai. Upon deletion, your teacher profile and email address will be removed from our systems within 10 business days. Anonymous notes on your wall may be retained as they do not contain your personal information.

7. AI-Generated Content

NoteVUE uses Anthropic’s Claude artificial intelligence system to help students generate appreciation notes. AI-generated messages are labeled as such within the note-sending interface. All AI-generated content is passed through automated content safety filters before it is presented to the student for review or submitted to a teacher’s wall.

25 Alpha LLC makes no warranty that AI-generated messages will be accurate, appropriate, or reflective of the student’s actual sentiments. Students are responsible for reviewing AI-generated content before submission. 25 Alpha LLC is not liable for any AI-generated output that is used in bad faith, submitted without review, or misappropriated by a user.

8. Intellectual Property

NoteVUE and StaffVUE.ai are trademarks of 25 Alpha LLC. All Platform code, design, graphics, logos, user interface elements, and other proprietary materials are the exclusive property of 25 Alpha LLC and are protected by applicable copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in or to the Platform’s intellectual property other than the limited license to use the Platform as permitted by these Terms.

You may not copy, reproduce, modify, create derivative works from, distribute, transmit, publicly display, or otherwise exploit any portion of the Platform without the express prior written consent of 25 Alpha LLC.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, 25 ALPHA LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

25 Alpha LLC does not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not warrant the accuracy, completeness, or usefulness of any AI-generated content. We do not guarantee that any note submitted through the Platform will be delivered to or read by the intended teacher.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL 25 ALPHA LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM.

In any event, 25 Alpha LLC’s total aggregate liability to you for all claims arising out of or relating to these Terms or the Platform shall not exceed the greater of (a) one hundred dollars ($100.00) or (b) the total amount you paid to 25 Alpha LLC in the twelve (12) months immediately preceding the event giving rise to the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless 25 Alpha LLC and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms, your use of the Platform, any content you submit, or your violation of any third-party right.

12. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy carefully, as it describes how we collect, use, and protect information in connection with the Platform.

13. Changes to These Terms

25 Alpha LLC reserves the right to modify these Terms at any time. For material changes, we will provide at least 14 days’ advance notice via email to the address associated with each teacher’s account, and we will post the updated Terms on the Platform with a revised effective date. Non-material changes (such as clarifications or typographical corrections) may be made without notice.

If you disagree with any changes to these Terms, you must discontinue use of the Platform before the effective date of the changes. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms.

14. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or relating to them or the Platform (whether in contract, tort, or otherwise) shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without giving effect to any choice of law or conflict of law provisions.

Any legal action or proceeding relating to these Terms or the Platform shall be brought exclusively in the state or federal courts located in the State of Delaware, and you hereby consent to personal jurisdiction and venue in such courts.
